The terms that govern subscriptions to the trtWhats platform, compliant use of WhatsApp Business messaging, and the respective responsibilities of TRT Digital and its customers.
1. Purpose and acceptance
These Terms of Service (the "Terms") govern access to and use of the trtWhats platform (the "Platform"), published and operated by TRT Digital, a company incorporated under the laws of Morocco with its registered office at Casablanca, Maroc, registered in the commercial register under number 420807 and identified by ICE 002143944000008 ("we", "us"). The Platform is accessible from http://trtwhats.com.
Subscribing to a plan, creating an account or otherwise using the Platform constitutes full acceptance of these Terms by the customer (the "Customer"). The Customer confirms that it acts as a business, in the course of its commercial, craft or professional activity, and not as a consumer.
2. Description of the service
trtWhats is a software-as-a-service platform that lets businesses send and receive WhatsApp messages through Meta's official WhatsApp Cloud API, run a shared team inbox, automate order notifications and invoice delivery, send campaigns, and operate AI-powered conversational assistants. Available features depend on the plan subscribed and are described on the pricing page.
For sole traders who do not hold the documents Meta requires, we also offer a "linked device" mode (QR-code connection) that relies on unofficial WhatsApp mechanisms. The Customer acknowledges that this mode is not covered by Meta's API terms, that WhatsApp may restrict or ban a number used in this way, and that the Customer uses it at its own risk.
3. Account and access
The Customer is responsible for keeping its credentials confidential and for all activity carried out from its account, including by team members to whom it assigns seats. The Customer must notify us without delay of any unauthorised use. The Customer warrants that the information provided at sign-up and during Meta business verification is accurate.
4. Subscriptions, prices and billing
Plans are subscribed on a monthly or annual basis. The annual subscription covers twelve months billed at the price of ten monthly payments. Prices are stated in Moroccan dirhams (MAD), Saudi riyals (SAR) or UAE dirhams (AED) according to the market, exclusive of applicable taxes, and are payable in advance at the start of each period.
Subscriptions renew automatically for a further period of the same length unless the Customer cancels before the renewal date from its account area or in writing to [to be completed]. Cancellation takes effect at the end of the current period; amounts already paid are non-refundable and no pro-rata refund is due, save where mandatory law provides otherwise.
Meta fees. WhatsApp messaging fees (marketing, utility and authentication template messages and, from 1 October 2026, service messages beyond the free allowance set by Meta) are set and billed directly by Meta Platforms to the Customer through its WhatsApp Business account. These fees are not included in our subscription, do not pass through us and are never marked up by us. We are not responsible for changes to Meta's rate card.
We may revise our prices with at least thirty (30) days' notice; the revised price applies from the next renewal period.
5. Customer obligations and acceptable use
The Customer agrees to use the Platform in compliance with applicable law, these Terms and Meta's terms, in particular the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service and the Commerce Policy, as amended by Meta from time to time. In particular, the Customer shall:
- obtain and keep evidence of explicit prior opt-in from every recipient before sending any template message, with the opt-in clearly naming the business and the WhatsApp channel;
- respect the 24-hour customer service window: outside that window only Meta-approved template messages may be sent;
- categorise templates honestly (marketing, utility, authentication) and refrain from URL shorteners or any content that breaches Meta's policies;
- honour every opt-out request promptly and never send unsolicited, abusive, misleading, fraudulent or unlawful messages;
- not use the Platform for goods or services prohibited by Meta or by Moroccan law, nor to infringe third-party rights;
- comply with Moroccan Law No. 09-08 on the protection of individuals with regard to the processing of personal data and, where relevant, the data-protection rules of the countries in which its recipients are located;
- protect the quality rating and messaging limits assigned to its numbers by Meta and bear the consequences of any downgrade caused by its own practices.
The Customer remains solely responsible for message content, contact data and the relationship with its own customers. The Customer acknowledges that template approval, the verified badge, quality ratings and messaging limits are decided exclusively by Meta.
6. Suspension and termination for breach
We may suspend, without notice, any account, number or feature in the event of a breach of these Terms or of Meta's policies, bulk unsolicited messaging, recurring recipient complaints, a risk to the security or integrity of the Platform, or non-payment. In the event of a serious breach, or one not remedied within seven (7) days of notice, we may terminate the subscription with immediate effect, without compensation or refund. Any restriction imposed by Meta on the Customer's number is binding on us and cannot be attributed to us.
7. Data and privacy
Platform data is hosted on our servers located in the European Union. In providing the service we process the Customer's contact data as a processor, on the Customer's behalf and instructions; Meta acts as a processor for message delivery. A data processing agreement (DPA) is available on request. Processing details are set out in our Privacy Policy, which forms an integral part of these Terms.
8. Intellectual property
The Platform, its code, interfaces, documentation and trademarks remain our exclusive property. The subscription grants the Customer a personal, non-exclusive, non-transferable right to use the Platform for the term of the subscription. The Customer retains ownership of its content, contacts and knowledge bases and grants us a licence limited to what is necessary to provide the service.
9. Availability and warranties
We use reasonable efforts to keep the Platform available. Any service-level commitment (SLA) is the one stated for the plan subscribed. We do not warrant the availability or operation of Meta's services, telecom carriers or third-party platforms integrated with trtWhats (Salla, Zid, WooCommerce, Shopify, HubSpot, Odoo and others). Replies generated by AI features are provided as an aid; the Customer must supervise them and remains responsible for them towards its own customers.
10. Limitation of liability
To the fullest extent permitted by law, our aggregate liability, on any ground whatsoever, is limited to the amounts actually paid by the Customer during the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect damage, loss of revenue, goodwill, data or opportunity, nor for restrictions, bans or fees decided by Meta. The Customer shall indemnify us against any third-party claim arising from its content or its use of the Platform.
11. Changes to these Terms
We may amend these Terms. Any material change is notified to the Customer by e-mail or within the Platform at least fifteen (15) days before it takes effect. Continued use constitutes acceptance; otherwise the Customer may cancel before the renewal date.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Kingdom of Morocco. Failing amicable settlement within thirty (30) days of written notice, any dispute relating to their interpretation or performance shall be submitted to the exclusive jurisdiction of the courts of Casablanca, notwithstanding multiple defendants or third-party proceedings.
